Corporate Law Clerk

Our client is a global enterprise supplying engineered components, systems and
services to the automotive industry. Headquartered in Markham, Ontario, has
manufacturing divisions and engineering facilities in North America, Europe and Asia, and alliance
relationships with partners around the world. 

We are looking for a Corporate Law Clerk for our Legal Department at our head office in Markham.

Successsful candidate must have a Law Clerk certification/diploma, at least 8 years corporate/commercial law experience, and a positive, energetic and results-oriented attitude.

Position report to Vice President, Legal.

You will take charge of our corporate records and be involved in a wide variety of our corporate,
contractual and commercial activities. Your organizational abilities, attention to detail and strong
communication skills will be invaluable, as you will be interacting with all levels of our organization. We
are a hands-on, down-to-earth automotive parts manufacturing and engineering organization which
focusses more on culture and values, rather than policies and procedures.

POSITION SUMMARY:

The Corporate Law Clerk will be responsible for handling various corporate and commercial documents (including non-disclosure agreements, standard form customer documents, employment contracts, etc.) and maintaining corporate records for entities in various jurisdictions under the supervision of company’s Vice President, Legal.


RESPONSIBILITIES:

•  Incorporation and qualification for business of corporate entities in various jurisdictions
•  Prepare resolutions/minutes for directors and shareholders meetings
•  Prepare documents, agreements and correspondence relating to corporate/commercial transactions
•  Maintain corporate records, banking documents, minute books, share registers, etc. for Canadian and
foreign corporate entities
•  Conduct minute book reviews independently
•  Prepare and file mandatory reports and returns for all corporate entities
•  Respond to daily correspondence independently, communicating effectively in writing
•  Perform all clerical duties including organizing/maintaining files, records and correspondence
•  Input, revise, edit and proofread large volume of documents, with exceptional attention to detail
•  Complete special legal projects and other duties as required

SKILLS REQUIRED:

•  Completion of Institute of Law Clerks program or equivalent
•  Member of ILCO with thorough knowledge of legal procedures, statutes and regulations applicable to
corporate and commercial law (Ontario)
•  Minimum 8 years recent legal experience in corporate/commercial work in a law firm or in-house law
department environment
•  Detail-oriented, good analytical and problem-solving abilities
•  Excellent verbal and written communication skills
•  High proficiency in Microsoft Office (including Outlook, Word, Excel and PowerPoint)
•  Above average reading, spelling and grammatical skills
•  A positive and professional disposition
•  Self-motivated, results-oriented and takes the initiative
•  Strong interpersonal skills, a team player and comfortable interacting with senior levels of management
•  Proven experience planning and organizing projects with minimal supervision

• Able to handle/maintain information and data in strict confidence and with discretion
