Corporate Legal Counsel

Our client, a leading steel manufacturer, is looking for a Corporate Legal Counsel to join their team. We are looking for someone with around 10 years of total experience and a mix of experience within a firm as well as a business. Major areas of focus for this role are compliance, share holder agreements, and commercial contracts.

Requirements:

  • University degree – Bachelors of Law (LLB)
  • Called to Ontario Bar and member in good standing with the Law Society of Ontario
  • Familiarity with U.S. law
  • 10+ years of professional experience as in-house counsel and/or in law firm, with corporate commercial expertise
  • Able to engage and influence others with confidence, while building relationships across multiple areas of the business and working as a team player
  • Good knowledge of corporate governance requirements and processes, legal, regulatory and current best practices
  • Self-starter who is developing strong business acumen and the ability to effectively support simultaneous projects
  • Proactively engaged to keep up with regulatory developments and changes
  • Skilled at simplifying complex legal concepts to provide pro-active advice in a clear and concise manner
  • Proficient communication and reporting and contract and policy drafting skills, written and oral, required
  • Proficient negotiation and/or advocacy skills required
  • Must work within tight time constraints and changing priorities with respect to contracts, litigation, etc.
  • Proficient personal computer skills and advance knowledge of standard corporate software and applicable systems are required

 

Summary: The Corporate Legal Counsel will oversee all legal aspects of the business. The incumbent will effectively ensure legal conformity and minimize probability of exposure by providing legal services to one or more business units of partnerships and joint ventures, and its affiliates, which includes corporate governance, corporate finance, commercial contracts, employment, immigration, litigation management and compliance.

Key Accountabilities:

  • Work closely with internal clients (typically Sr. Management and Executives) to provide expert legal advice, risk assessments, and recommendations regarding legal matters relating to business operations.
  • Act as the primary liaison and respond to inquiries from stakeholders regarding agreements, including preparing correspondence and other supporting collateral.
  • Support compliance/regulatory and risk activities such as development and maintenance of a compliance program.
  • Research and provide advice on the interpretation of statutes, regulations and case law.
  • Applying a working knowledge of relevant privacy and data management requirements and best-practices.
  • Provide advice and assistance regarding the management and execution of commercial transactions, special projects, compliance and governance training, and legal learning sessions.
  • Contract administration, including preparation and review and negotiation of contracts, implementation and coordination of timelines, liaise between internal and external business partners and counsel, management of contract negotiation process, and oversee management of contract database.
  • Engage in research of legal principles, development/review of precedents, consultations and outside counsel on commercial, employment and labour, immigration, litigation, policy, health & safety, and environmental matters, drafting and execution of legal documents, assessing and managing risks, management of claims, and gathering of case law related information using multiple sources and methods in order to accomplish the assigned legal and business objectives.
  • Risk management and compliance function by ensuring compliance with corporate policies and procedures.
  • Report on all legal matters both internally to senior management, and externally.
  • Facilitate and coordinate board and shareholder meetings and annual proceedings, including preparation and distribution of meeting materials, recording of same in corporate records and ArcelorMittal legal entity databases.  
  • Supervise and manage external counsel.
  • Provision of legal education sessions on compliance, governance and topics of legal concern.
